1. Agreement to Terms of Service
These Terms and Conditions of Use (the “Terms of Service”) apply to your access to and use of the products, services, applications, software, platforms, websites, and related features operated or provided by PixVerse (collectively, the “Services”) (hereinafter referred to as “we”) , operated by MOTIVAI PRIVATE LIMITED (the “Company”), hereby reminds you to read and fully understand the terms of this agreement.
By accessing or using the Services, you acknowledge that you accept the following terms, especially limitation of liabilities, indemnity and breach of these Terms of Service. In the event that you do not understand or accept any of the terms herein, please discontinue your use of the Services.
The Services are intended only for individuals who are at least 16 years old. Individuals under the age of 16 (“Minors”) must not access or use the Services unless supervised by a parent or legal guardian, who has read and agreed to these Terms of Service on behalf of the Minor and accepts full responsibility for the Minor’s use. For such Minors, we may collect only the personal data necessary to provide and maintain the Services, including account information, device information, and usage data, solely for service operation, security, and performance purposes. Parents or legal guardians may withdraw consent and request deletion of a Minor’s personal data at any time by contacting support@pixverse.ai. We may suspend or terminate accounts and delete data if we become aware that a Minor has accessed or used the Services in violation of these Terms.
To the extent permissible by law, we reserve the right to alter these Terms of Service at any time without providing notice. You are responsible for regularly checking for any changes to these Terms of Service. Your continued use of the Services after any such changes are released shall be deemed as your acceptance of said changes.
2. Services Information
We operate and manage the Services from its headquarters in Singapore. Though the Services can be accessed from anywhere in the world, the availability of the functions, products, and services discussed, mentioned, supplied, and provided through or on the Services may vary by country or region. Such availability is subject to applicable laws, regulatory requirements, and our business considerations in each jurisdiction.
Your access to the Services from any country or region is undertaken voluntarily. You are solely responsible for ensuring that your use of the Services complies with all laws, regulations, and rules applicable in the jurisdiction from which you access the Services. We make no representation that the Services or its content are appropriate, permitted, or available for use in all locations.
The Services are offered and provided to you on an “as is” and “as available” basis at your sole risk. Our goal is to minimize disruption caused by technical errors; however, we cannot guarantee the continuous, uninterrupted or error-free operability of the Services at all times. There may be times when certain functionality or features of the Services or content made available through the Services, or the entire the Services, become unavailable (whether on a scheduled or unscheduled basis) or are modified, suspended or withdrawn by us, at our sole discretion, without notice to you. You agree that we will not be liable to you or to any third party for any unavailability, modification, suspension or withdrawal of the Services, or any feature, part or content of the Services. We are not responsible if you cannot access the Services properly or at all because of any event out of our control, for example (without limitation) the performance of any software or operating system running on your device or any connected software, hardware, network or service.
3. Account
3.1. Account Registration
In order to access the Services, you are required to sign up for an the Services account (“Account”) and become a user (“User”) of the Services. You can log in to the Services using the username and the password you create.
You shall provide us with the information and complete all the registration procedures according to the instructions on the registration page. By creating an Account:
- you undertake to and shall provide true, accurate, up to date, and complete information as we may from time to time request, and shall not provide us with any false or misleading information;
- you authorize us to assume that any person using the Services with your username and password is either you or a person authorized to act for you;
- you must not impersonate or attempt to impersonate another person; and
- you must safeguard the username and password of your Account and keep them secret and confidential.
3.2. Account Safety and Management
You undertake to, and shall, comply with all applicable laws and regulations when you use the Services and any of the Services.
You are responsible for keeping your Account and password safe, using them properly, and maintaining their confidentiality. If you do not take these precautions and your Account or password is lost, stolen, or misused, resulting in damage to you or others, you will be held legally responsible.
Your Account can only be used by yourself and you may not lend, give away or rent the Account or transfer, sell or share the Account to others. Otherwise, you will be responsible for any legal consequences arising therefrom. If you authorize any person to act for you in relation to the use of the Services, you will ensure that they comply with this Agreement at all times.
4. Content
4.1. Services Content
During your use of this software and related services, you may submit text, audio, or other content or information (collectively, “Inputs”) to the software and related services and receive content generated in response to your Inputs (referred to as “Outputs” or “Generations”). Between you and the company, to the extent permitted by applicable law, the intellectual property rights of the Inputs provided by you belong to you or the rightful owner of these intellectual property rights.
We do not claim ownership of the Outputs. Within the scope of non-commercial use, you retain ownership of your Inputs, and you also retain all ownership rights in the Outputs. Your use of the Outputs is limited to non-commercial purposes unless you obtain separate authorization or a commercial-use license from the relevant rights holders. For the avoidance of doubt, if any Input and/or Output contain content over which any party holds intellectual property rights or other legal interests, the respective rights of such parties shall remain unaffected and shall not be altered by its inclusion in the Input or Output.
You understand and agree that for all or part of the information content that you input, generate, publish, or disseminate through this software and related services (collectively, “Information Content”), you grant the company and/or its affiliates a free, worldwide, perpetual and sublicensable license to use, reproduce, modify, distribute, and display such Information Content solely in an aggregated and anonymized manner for the purpose of improving and providing the Services, including model training and optimization, unless you choose to opt out where such option is made available.
You understand and promise that the Inputs shall be content for which you have intellectual property rights or have obtained lawful authorization from the rights holder, and do not contain any content that violates applicable laws and regulations, infringes on the legal rights of others (including but not limited to copyright, patent rights, trademark rights, and other intellectual property rights, as well as personality rights, personal information rights, and other rights), or violates public order and morals.
You can download information presented on the Services, provided that:
- Said information is can be used for both personal and commercial purposes.
- No alterations of any kind are made to said information.
- No further statements and warranties shall be made with regard to said information or documents containing said information.
- No statements and/or notifications indicating our ownership of and other legal rights and interests with regard to said information shall be removed, in part or in full.
4.2. Platform Creative Materials
PixVerse may make available certain images, characters, templates, visual elements, or other creative materials (“Platform Creative Materials”)—including those displayed in features such as Trending Inspo—to inspire users and support content creation within the Services.
You may use the Platform Creative Materials solely within the Services and only for purposes consistent with the Platform’s intended creative functions. Access to these materials is provided on a limited-use basis and does not grant you any broader usage rights, including any rights outside the Services.
You agree not to use any Platform Creative Materials for the following purposes:
- Political campaigns, election influence, political advocacy, or related messaging;
- Fraudulent, deceptive, harmful, or otherwise unlawful activities;
- External commercial exploitation, including advertising, endorsements, or monetization outside the Platform, unless expressly authorized by the Company;
- Any use that may violate relevant laws, regulations, or community guidelines.
We may, at its discretion and without liability, modify, limit, suspend, or remove access to Platform Creative Materials—or any content incorporating such materials—if it determines that the materials have been used improperly or in violation of these Terms. We may also request that you revise or delete content that does not comply.
You understand that Platform Creative Materials may be subject to usage limitations that the Services may update from time to time, and your use must adhere to any such limitations.
Platform Creative Materials are made available for non-commercial, in-Platform creative use only. You are strictly prohibited from using any Platform Creative Materials—whether alone or as part of Outputs—for any commercial purpose unless expressly authorized by the Company.
4.3. External Sharing
You may share your creations from the Services to third-party platforms, provided that such sharing complies with these Terms and applicable laws.
External sharing does not grant any right to use shared content for commercial purposes. You must ensure that any content you share externally is not used for commercial purposes unless explicitly permitted under these Terms and applicable rights.
- Based on other users’ content: If your content is derived from another user’s authorized work, your external sharing must not infringe the original creator’s rights.
- Public figures or third-party IP: If your content includes recognizable real people, celebrities, brands, characters, or other protected elements, you must ensure you have obtained the necessary permissions before sharing externally.
- Platform materials: Some Platform-provided materials are intended for in-Platform use only. External sharing of such materials must comply with any restrictions published by the Services.
We may request that you modify or remove externally shared content that does not comply with these requirements.
4.4. User Responsibility for Content
You are solely responsible for all content that you upload, input, generate, publish, share, or otherwise use through the Services (“User Content”). You represent and warrant that your User Content complies with all applicable laws and does not infringe or violate any third-party intellectual property rights, personality rights, privacy rights, or other legal interests. To the maximum extent permitted by law, we are not liable for any disputes, claims, investigations, penalties, losses, or damages arising from or relating to User Content, and you shall resolve and bear all resulting consequences at your own cost.
Nothing in these Terms shall be construed as exempting or limiting our obligations to comply with applicable content governance, regulatory, or takedown requirements. We may, at our reasonable discretion, review, restrict, remove, or disable access to User Content that may violate laws, infringe the rights of others, or breach these Terms. To the extent permitted by law, we disclaim liability for User Content and any consequences arising from your use of it.
5. Usage Standards
The Services and its Content cannot be used illegally or for any purpose prohibited in these terms of usage, nor can they be used to infringe on the legal rights and interests of other persons or organizations. We reserve the right to bar any such activity. In serious cases, we reserve the right to block your account. Including but not limited to:
- Do not promote, coordinate or engage in harassment. We do not allow any type of harassing behaviour, including sustained bullying, sexual harassment, ban or block evasion, or coordinating server joins for the purpose of harassing server members.
- Do not threaten to harm another individual or group of people. This includes direct, indirect and suggestive threats.
- Do not share or threaten to share the personally identifiable information of an individual without consent. This includes providing services that facilitate doxxing, such as buying or selling doxxes or compiling doxxes for others.
- Do not use hate speech or engage in other hateful conduct. This includes the use of hate symbols, imagery and claims that deny the history of mass human atrocities.
- Do not organise, promote or support violent extremism. This also includes coordinating violent acts; glorifying or promoting violence or the perpetrators of violent acts; and promoting conspiracy theories that could encourage or incite violence against others.
- Do not solicit, share or make any attempt to distribute content that depicts, promotes or attempts to normalise child sexual abuse. Also, do not post content or engage in conduct that in any way sexualises children. This includes real as well as manipulated media, animation (such as lolicon) and any type of digital creation
- Do not share, distribute or create sexually explicit or sexually suggestive content of other people without the subject’s consent. This includes the non-consensual distribution of intimate media that was created either with or without an individual’s consent.
- Do not share content that glorifies, promotes or normalises suicide or other acts of physical self-harm. This includes content that encourages others to cut, burn or starve themselves, as well as content that normalises eating disorders, such as anorexia and bulimia. Self-harm acts or threats used as a form of emotional manipulation or coercion are also prohibited.
- Do not share real media depicting gore, excessive violence or animal harm, especially with the intention to harass or shock others.
- Do not share content that violates anyone’s intellectual property or other rights.
- Do not organise, promote or engage in the selling or facilitation of sales of regulated or potentially dangerous goods.
- Do not coordinate or participate in illegal gambling. Users are responsible for complying with applicable gambling laws and regulation.
- Do not organise, promote or engage in any other illegal activity, such as human trafficking or sexual solicitation.
- Do not use the Services to generate images for political campaigns, or to try to influence the outcome of an election.
- Do not use the Services or the Assets to attempt to or to actually deceive or defraud anyone.
You shall not use any form of device, program, or algorithm, including spiders, robots, deep-links, and page-scrapes, or any identical or similar manual program, to access, obtain, copy, or monitor any part of the Services or its Content. Additionally, you shall not visit, obtain, or copy any materials, documents, or information on the Services by any method not provided by the Services.
You shall not attempt to illegally access, decode, or use any other illegal methods to gain unauthorized access to the Services, its Content, or its services. You shall not trace, reverse lookup, decrypt, or decode any customer information on the Services, including but not limited to the ID’s of users other than yourself.
You shall not violate any of the security mechanisms or authentication measures utilized by or linked to the Services. You shall not probe, scan, or otherwise test for any network weaknesses of the Services or those linked to it, nor launch any form of attack against it.
You agree not to use any device, software, or program to interfere or attempt to interfere with the regular operation of the Services or any transactions performed on the Services, or to interfere or attempt to interfere with the use of the Services by others. You shall not undertake any actions that store unreasonable or disproportionate amounts of data on the Services’ infrastructure, system, or network, or on systems or networks that are linked to the Services.
6. External Links
The Services may contain links to independent third-party websites. Such links are provided only for the convenience of visitors to the Services. We do not give any express or implied guarantees regarding the Content, services, and information provided on linked websites, nor should these links be deemed as a recommendation or authorization by us with regard to the linked websites. You can visit any and all of the linked websites entirely at your own discretion, however we shall assume no responsibility for the outcome of any such interactions.
7. Privacy
The Services is subject to our Privacy Policy.
It should be noted that the network link and data transmitted between yourself and the Services are neither completely safe nor confidential, and it is possible that information and data you send to the Services could be intercepted by others. We are unable to guarantee the security and confidentiality of the network link and data transmitted between yourself and the Services.
8. Reservation of Rights
We reserve the right to perform the following actions at any time without giving notice:
- Suspend or terminate operation of, or access to, all or part of the Services at any time, irrespective of the reason.
- Fix or alter all or part of the Content of the Services as well as any applicable policies, terms, or clauses.
- Suspend operation of all or part of the Services for the purposes of maintenance, alteration of errors, or other such changes at regular or irregular intervals. Please note: The Services, including source code, UI, trademarks, and algorithms, are the proprietary property of PixVerse. Nothing in these Terms grants you any right to use our trademarks or trade names.
9. Disclaimer
We do not guarantee the availability, continuity, and accessibility of the Services, its content, or its services. The Services and its content are provided on an ‘as is’ basis. You, as the user, bear all responsibilities for usage of the Services and any website linked to it. Should you feel dissatisfied with all or any part of the Services, your only course of remedial action is to stop using all or part of the Services, as limitation of remedies constitutes part of your agreement with us with regard to usage of the Services.
10. Limitation of Liabilities
Except where forbidden by law, under all circumstances, we will accept no responsibility for all indirect, derivative, incidental, collateral, or punitive damages that may be incurred from usage of the Services, including but not limited to profit loss, even if we are already aware of the potential risks.
If your use of the Services results in any form of damage or loss, the complete and maximum liability that we and our partners assume shall not exceed the total sum of any subscription fees or similar fees related to your use of the services or functions of the Services.
Some legal jurisdictions do not allow for the limitation of liability. Therefore, the aforementioned restrictions may not be applicable to you.
11. Indemnity
In the event of any third-party request, loss, liability, proposition, or expense (including lawyer’s fees) brought against us arising from or relating to your usage of the Services, you agree to compensate us, its directors, employees, agents, partners and other licensed persons.
12. Independent Remedies
The clauses in Article 10 “Limitation of Liabilities” and Article 11 “Indemnity” of this Agreement take effect independently, even if it is determined that said articles and/or clauses are unable to fulfill the intended purpose or be enforced by law. Within the scope permitted by related effective laws, the limitations of liability stipulated in Article 10 and Article 11 herein shall be applied, irrespective of whether the loss is due to (1) breach of contract, (2) breach of guarantee, (3) errors or infringements, including negligence or misrepresentation, (4) strict liability, (5) or any other reasons.
13. Feedback
Any feedback you provide on the Services is regarded as non-confidential. We reserve the right to freely use this information without limitation.
14. Breach of these Terms of Service
You agree that we reserve the rights to terminate your access to the Services and/or block you from visiting the Services in the event that we deem you to have breached any of these Terms of Service.
If we revoke your access to the Services as a result of you having breached these Terms of Service, we assume no liability towards you or any third-party.
You agree that we can solely decide, without prior notification, to terminate your access to all or part of the Services’ functions, for reasons including but not limited to:
(1) In response to the requests of law enforcement agencies or other government institutions.
(2) In response to your own request.
(3) The suspension or major modification of the Services or any of its services.
(4) Unforeseeable technical issues.
15. Copyright Infringement
If you believe that any User Content or other materials made available through the Services infringe your copyright or other intellectual property rights, you may submit a written notice of infringement to the contact information specified in these Terms. Upon receiving a valid notice, we will review the report and take appropriate measures in accordance with applicable laws and these Terms, which may include removing or disabling access to the infringing content.
In accordance with our content governance obligations, we may suspend or terminate the accounts of users who are determined to be repeat infringers.
16. Applicable Laws and Jurisdiction
The establishment, enforcement, and interpretation of this Agreement, as well as the resolution of disputes related thereto, shall be governed by and construed in accordance with the laws of Singapore.
Should any dispute arise concerning the content or execution of this Agreement, both parties agree to first seek resolution through amicable negotiation. If the parties fail to resolve the dispute through negotiation, they agree to submit the dispute to arbitration in Singapore, in accordance with the Arbitration Rules of the Singapore International Arbitration Centre (“SIAC”) in force at the time of arbitration, as modified by these Terms.
The arbitration shall take place in Singapore, and the language of the arbitration shall be English. The arbitration award shall be final and binding upon both parties.
17. Miscellaneous
These Terms of Service constitute the full Agreement between yourself and us with regard to your usage of the Services, and they replace any and all prior written or oral agreements between yourself and us with regard to usage of the Services. Notwithstanding the stipulations of other agreements signed between yourself and us, we will not accept any counter-offers with regard to these Terms of Service, and hereby expressly refuses all counter-offers.
If we fail to uphold or demand the strict execution of these Terms of Service, this should not be deemed as a waiver on the part of our any rights pertaining to the execution of these Terms of Service, or the Terms of Service themselves. No action taken between us and yourself or a third-party should be deemed as an alteration to any of the stipulations of these Terms of Service.
