PixVerse Platform Terms of Service

This platform (hereinafter referred to as the “Platform”) aims to provide users with the API (Application Programming Interface) of the video generation technology service of PixVerse Platform. Users are required to carefully read these usage rules before using the platform services. By using this platform, users agree to be bound by these rules. If users do not agree to these rules, they should not use this platform.

The ownership and operation rights of the platform belong to PixVerse. These rules may be revised according to changes in laws and regulations, the development of the platform business, and the evolution of API technology. The platform will notify users of the rule changes through reasonable means such as announcements on the platform’s official website and developer email notifications. After the rules are revised, users’ continued use of the platform API services will be deemed as their acceptance of the modified terms.

1. General Agreements

1.1 Currently, the platform API only provides services to developers (hereinafter collectively referred to as “users”) who have legal development and use qualifications. Moreover, the regions where users are located and their usage behaviors should comply with relevant laws and regulations. Before applying to use the API, users need to submit necessary qualification certification documents and related information to the platform. The platform has the right to review them, and if it is found that users do not meet the requirements, the platform has the right to refuse to provide API services.

1.2 The platform API mainly provides AI content generation (text-to-video, image-to-video, audio and video generation, etc.) and related basic processing functions, such as generating video content based on specific inputs and adjusting the generated videos. The specific API functions and invocation methods will be detailed in the technical documentation provided by the platform. The platform has the right to adjust and expand the API functions according to business development and technological upgrades, but will notify users in advance.

1.3 To improve the performance and security of the API, the platform will update the API version irregularly. New versions may introduce new functions, optimize performance, or fix bugs. The platform will strive to ensure the backward compatibility of the API. However, in some cases, users may need to make appropriate adjustments to their applications to adapt to the new API version. The platform will inform users of the update content and possible impacts through developer documentation, email notifications, etc. before the update. Users should pay attention in a timely manner and upgrade as required.

1.4 The video generation and related data generated through the API can only be used by users in legal application scenarios and cannot be used for any illegal, infringing, or activities that violate public order and good customs. Specifically, users shall not use the API to create or disseminate illegal information, infringe on the intellectual property rights or privacy of others, engage in malicious competition, or interfere with the normal operation of the platform. Without the written authorization of the platform, it is prohibited to use the API for any commercial profit-making activities, such as directly selling API invocation services or using the API to generate videos for advertising without legal authorization.

2. User and Account Management

2.1 Users should ensure that they have full capacity for civil conduct. During the registration process, users should provide real, accurate, and complete registration information, including but not limited to name, contact information, email address, company name (if registering in the name of an enterprise), etc. The actions of users creating an account through the registration process provided by the platform, logging in by associating with an existing third-party account (such as a social media account), and applying for access to the API by providing company information to the platform are all regarded as user registration/login and agreement to the platform agreement.

2.2 Users are responsible for properly safeguarding the username and password of their accounts and are responsible for all activities conducted under the account. If any unauthorized use of the account is discovered, users should immediately notify the platform. The platform has the right to suspend or terminate the use of the account when necessary to protect the security of the account and the normal operation of the platform.

2.3 Users guarantee that the email addresses used for registering user accounts and/or other associated accounts are legal and accurate. They also guarantee that all activities carried out on this platform using the aforementioned email addresses, such as registering user accounts, submitting corresponding qualification materials, confirming and agreeing to relevant agreements and rules, and selecting specific service categories, are either carried out by themselves or authorized by them and are binding on them. Users should also bear the legal responsibilities for all actions identified by the aforementioned email addresses or accounts.

2.4 Before using the API, users need to apply to the platform for an API account and key. The key is the identity credential for users to invoke the API and is associated with the user’s account registered on the platform. Users should properly safeguard the API key and not disclose it to any third party. The platform has the right to assign different API invocation permissions to users based on factors such as user account type, qualification certification status, and payment level, such as limiting the number of daily invocations and the scope of available API functions. Users shall not bypass the platform’s permission management mechanism by any means to obtain API resources beyond their authorized scope. The platform has the right to monitor and audit the use of the API key. If any abnormal use behavior is found, the platform has the right to immediately suspend or terminate the use of the key and require users to take measures to ensure security.

2.5 The ownership of the user account belongs to the platform. Users only obtain the permission to use the account on the premise of complying with these terms. The platform has the right to manage and dispose of the account according to business needs, including but not limited to freezing, unfreezing, and canceling the account.

3. User Rights and Obligations

3.1 Users have the right to use the API services within the scope permitted by these rules but shall not exceed the authorized scope or violate the usage restrictions. Users can only use the API for their own legal business or project development and shall not provide the API to third parties without the written consent of the platform and compliance with relevant regulations. For example, users shall not integrate the API into third-party applications for resale or sharing, nor use the API to provide video generation services for other unauthorized users.

3.2 Compliance with Laws and Prohibited Behaviors

Users must strictly abide by all applicable laws and regulations and the relevant rules of this platform. Users shall not engage in the following activities using this service, nor create, upload, copy, publish, disseminate content containing the following information, or provide convenience for the following behaviors. The platform shall not be responsible for any consequences resulting from users’ violation of this agreement (this clause does not cover the actions of users such as creating, uploading, copying, publishing, and disseminating on their own. Users only have the supervision responsibility for user actions):

  1. Opposing the basic principles stipulated in the constitution.
  2. Endangering national security, disclosing state secrets, subverting state power, or undermining national unity.
  3. Damaging national honor and interests.
  4. Inciting ethnic hatred, ethnic discrimination, or undermining ethnic unity.
  5. Promoting terrorism, extremism, or inciting the implementation of terrorist or extremism activities.
  6. Undermining national religious policies, promoting cults or feudal superstitions.
  7. Fabricating or spreading rumors, false information, or conducting telecom frauds to disrupt social order and undermine social stability.
  8. Disseminating pornographic, erotic, gambling, violent, murderous, terrorist, or criminally instigative content, or trading or manufacturing contraband or controlled items.
  9. Insulting or slandering others, infringing upon others’ rights to reputation, portrait rights (for example, not using information technology means such as forgery to infringe upon others’ portrait rights), privacy rights, trade secrets, intellectual property rights, and other legal rights and interests, or impersonating or falsely using the names of state agencies, social organizations, or other legal persons.
  10. Containing other content prohibited by laws and administrative regulations.

3.3 Specific Usage Rules

When using this service, users should comply with the following usage rules:

  1. Users should remind their users not to rely solely on this service to provide professional medical, legal, or financial advice unless the model output content is reviewed by relevant professionals and their users have been informed about the use of artificial intelligence technology and its limitations.
  2. Users shall not use this service in their own name to create, copy, publish, or disseminate false news information. When reprinting news information created and published based on deep synthesis services, users should remind their users to legally reprint news information published by Internet news information source units.
  3. Users should remind their users to abide by relevant laws and regulations, follow the principles of voluntariness, equality, fairness, and good faith, respect the legal rights and interests of others, prevent harm to the physical and mental health of others, infringement of portrait rights, reputation rights, and personal information, and infringement of intellectual property rights. Users shall not use this service to seek improper benefits or disrupt the normal order of the Internet platform.
  4. Users shall not use this service to develop products or services that compete with this service.
  5. Users shall not use this service to develop, train, or improve other algorithms, models, etc. that have direct or indirect competitive relationships with Party B.
  6. Users shall not obtain the data generated or output by this service through web crawling, extraction, or other means.
  7. Without the prior written consent of Party B, users shall not provide this service or the API Token of this service to third parties through renting, lending, selling, distributing, reselling, or transferring.
  8. Users shall not use any means to tamper with or delete the relevant expressions and identifiers indicating that the generated content is “AI-generated” in the message field of the interface return value. Users should remind their users not to maliciously guide or mislead third parties to misunderstand the content generated by this service as human-generated.
  9. Users shall not use illegal means to interfere with the normal operation of this service, including maliciously generating content that violates laws and regulations or is harmful through input content, maliciously counteracting or evading the content review mechanism of this service, or other behaviors that may harm or damage the legal rights and interests of Party B.

3.4 Users are fully responsible for the video content generated through the API and should ensure that its content does not violate laws and regulations and social public order and good customs. When using the generated video content, users need to independently evaluate and bear the possible legal risks, such as infringement disputes and legal proceedings caused by the video content. Users shall not use the content generated by the API for fraud, misrepresentation, or other improper behaviors, and should retain the copyright mark or other necessary information required by the platform in the video to indicate the source and generation method of the video.

3.5 In the process of using the API, users may involve the processing of user data or other sensitive information. Users should comply with applicable data protection and privacy laws and regulations, take reasonable security measures to protect data security, and ensure that the collection, storage, transmission, and use of data are legal and compliant. Users shall not use the data obtained through the API for unauthorized purposes, disclose or sell the data to third parties, and should respect the privacy rights of users in the data processing process, obtain user consent and provide a privacy policy statement in accordance with relevant legal requirements.

3.6 Users shall not reverse engineer, decompile, crack, or attempt to obtain the source code of the API. Users shall not use the API to perform any behaviors that may affect the security, stability, or performance of the platform, such as initiating large-scale malicious requests or conducting denial-of-service attacks. Users shall not modify the return results of the API without permission or tamper with them illegally. Users shall not use the API to develop products or services that compete with the platform, create a mirror or simulation service of the API, or delete, hide, modify, or replace the copyright notice, technical identifier, or other important information related to the platform involved in the API invocation process.

4. Platform Rights and Obligations

4.1 The platform will strive to ensure the stable operation of the API service, provide necessary technical support and maintenance, and ensure that users can normally invoke the API and obtain the expected results. The platform will continuously optimize the performance and response speed of the API and upgrade and improve the API according to user needs and technological development trends. However, in some unforeseeable and unavoidable situations, such as API service interruptions or abnormalities caused by force majeure factors such as natural disasters, network failures, third-party attacks, or technical difficulties, the platform will not bear liability for breach of contract but will try its best to take measures to restore the service as soon as possible and notify users of the relevant situation in a timely manner.

4.2 The platform will take strict data security measures to protect the data and privacy information involved when users use the API, ensuring that the storage, transmission, and processing of data comply with relevant laws and regulations and security standards. The platform has the right to analyze and statistically process the data invoked by users through the API, but only for legal purposes such as improving service quality, optimizing API performance, and ensuring platform security. The platform will not disclose user data to third parties or use it for other unauthorized purposes.

4.3 The platform has the right to conduct compliance reviews on the video content generated by users through the API. If it is found that the content violates laws, regulations, or platform rules, the platform has the right to require users to stop generating, transmitting, or deleting the relevant content and take corresponding penalty measures, such as restricting API invocation rights, suspending or terminating API services. The platform will establish a content monitoring mechanism and use a combination of automated technology and manual review to check the video content generated by users to ensure that the content on the platform complies with laws, regulations, and social public order and good customs.

4.4 The platform will upgrade and update the API according to technological development and business needs. During the upgrade process, the platform will provide necessary technical documentation and guidance to help users smoothly transition to the new API version. The platform will set up a specialized technical support team to answer users’ technical questions encountered in the process of using the API, provide technical consultation and troubleshooting services. Users can seek help from the technical support team through the official channels provided by the platform (such as developer forums, customer service emails, and hotlines), and the platform will respond and provide solutions within a reasonable time.

4.5 The platform will establish a sound risk prevention mechanism to monitor and warn of security risks, compliance risks, etc. in the process of using the API. When it is found that users have violations or potential safety hazards, the platform has the right to take timely measures to deal with them, such as restricting API invocation, notifying users to rectify, and reporting to relevant regulatory authorities.

5. Intellectual Property Rights

5.1 The intellectual property rights of the platform and the platform API belong to the platform operator or its legal authorized parties, including but not limited to the source code of the API, technical documentation, algorithm models, data structures, etc. Users shall not infringe on the intellectual property rights of the platform during the use of the API, and shall not copy, disseminate, modify, or use the API for other infringing purposes without authorization. Without the written consent of the platform, users shall not reverse engineer or extract technical information from any part of the API to develop competing products or services.

5.2 The intellectual property rights of the video content generated by users through the API belong to the users or the users and their relevant authorized parties. However, users should ensure that the process of generating and using the content does not infringe on the intellectual property rights of third parties. Users grant the platform the right to use the user-generated content within a legal scope for the purposes of platform promotion, publicity, and technological improvement. However, the platform should respect the intellectual property rights of users in the process of use and use them in accordance with relevant legal regulations and user authorization. Users should be responsible for handling intellectual property disputes arising from the generated content and bear the resulting legal liabilities. If the platform suffers losses due to the infringement of third-party intellectual property rights by user-generated content, users should compensate the platform.

5.3 Users’ use of AI-generated content for commercial purposes is not restricted. However, users should be aware and understand that such content cannot completely avoid the risk of intellectual property infringement, especially when users and their downstream customers input content involving unauthorized texts, intellectual property, etc. Please carefully evaluate before using it for external commercial purposes. Users need to ensure that both they and their downstream customers conduct input and output operations legally and reasonably and bear all consequences. If users cause losses to us and our affiliates, they shall bear the liability for compensation.

6. Liability for Breach of Contract and Limitation of Liability

6.1 If users violate any clause of these rules, they should bear the liability for breach of contract, including but not limited to stopping the violating behavior, compensating the platform for the losses suffered thereby (such as direct economic losses, reputation losses, and the costs incurred in handling user violations), etc. The platform has the right to take corresponding penalty measures according to the seriousness of the user’s breach of contract, such as issuing a warning, restricting API invocation rights, suspending or terminating API services, reporting to relevant regulatory authorities, etc. If the user’s violation constitutes a crime, the platform will pursue the user’s criminal liability according to law.

6.2 Although the platform will strive to fulfill its obligations in these rules, for situations such as API service interruptions, data losses, and user losses caused by force majeure, third-party reasons (such as third-party service provider failures, third-party infringement behaviors, etc.), or users’ own reasons (such as user equipment failures, user operation errors, etc.), the platform will not bear the liability for compensation but will assist users in solving problems or providing necessary support within its capacity. The platform only provides a reasonable guarantee for the accuracy, reliability, and timeliness of the API service and does not guarantee that the API service is completely error-free or meets all specific needs of users. In any case, the platform will not bear the liability for indirect losses, special losses, incidental losses, or punitive losses incurred by users due to the use of the API service, unless otherwise provided by laws and regulations.

6.3 In any situation, the total amount of compensation liability borne by the platform for users based on this service (regardless of the liability theory based on contract, tort, or any other) shall not exceed the total amount of service fees paid by the user for this service in the past 12 months (for the avoidance of ambiguity, the fees here refer to the actual cash total amount paid by the user for the actual usage duration/quantity of the service, etc.).

7. Service Changes and Termination

7.1 The platform may change the API service due to reasons such as technological upgrades, business adjustments, or changes in laws and regulations, including but not limited to adjustments to API functions, changes to invocation methods, and revisions to service agreements. The platform will notify users of the detailed information of service changes in advance through official website announcements, developer email notifications, etc., and provide necessary technical documentation and guidance to help users adapt to and transition to the new API service. During the transition period, the platform will strive to ensure the compatibility between the old version API and the new version API to reduce the impact on users’ business. However, in some cases, users may need to make certain modifications or redevelopment of their applications, and users should bear the relevant costs and risks caused by service changes.

7.2 This API service may be terminated in the following situations: the platform decides to stop providing API services; the user violates these rules and the circumstances are serious and the user has not corrected after being warned by the platform multiple times; the user actively applies for terminating the API service and is approved by the platform after review. After the API service is terminated, the platform will stop providing API invocation functions to the user and has the right to delete the relevant data and information of the user on the platform (except as otherwise provided by laws and regulations or the data has been backed up by the user). At the same time, the user should immediately stop using the API and handle the business and data related to the API in accordance with the requirements of the platform, such as stopping generating and disseminating video content based on the API and deleting the code and application programs related to the API.

8. Governing Law and Dispute Resolution

8.1 The formulation, execution, interpretation, and dispute resolution of these rules shall all be governed by the laws of the country where the platform is located.

8.2 If a dispute occurs between the two parties during the performance of these rules, they should first resolve it through friendly negotiation. If the negotiation fails, either party can file a lawsuit with the court having jurisdiction in the place where the platform operator is located. During the dispute resolution period, except for the part involving the dispute, both parties should continue to perform the other terms of these rules.

9. Other Terms

9.1 These rules constitute the entire agreement between the two parties regarding the platform API service. Except as expressly provided in these rules or otherwise agreed in writing by the platform and the user, no other rights are granted to both parties.

9.2 If any term in these rules is partially or completely invalid or unenforceable, the remaining terms shall still be valid and binding, provided that the overall purpose and intent of these rules are not changed.

9.3 The invalidity or unenforceability of any term in these usage rules does not affect the validity and enforceability of other terms.

9.4 The failure or delay of the platform to exercise any right in these usage rules does not constitute a waiver of that right.
